Vishay Intertechnology, Inc. to Acquire Capella Microsystems Inc.

  July 11th, 2014. Capella Microsystems Inc. (GreTai Securities Market: 3582) (“Capella”), a fabless semiconductor design company, announced today that its Board of Directors unanimously approved and executed an Agreement and Plan of Merger with Vishay Intertechnology, Inc.

   Vishay is a publicly traded company on the New York Stock Exchange (NYSE: VSH). Vishay is one of the world's largest manufacturers of discrete semiconductors (diodes, MOSFETs, and infrared optoelectronics) and passive electronic components (resistors, inductors, and capacitors). Vishay’s leading visible and infrared components and solutions are highly complementary to Capella’s advanced optoelectronics products. In addition to the synergies between the business and technology of the two companies, Capella’s Board believes the merger will further enhance Capella’s operational efficiency and business competitiveness.
 
   After the closing of the merger, Capella will be merged into Vishay Sub with Vishay Sub as the surviving company. The merger of Vishay Sub and Capella is expected to be completed by the end of January 2015.
